What you can do for us:
Strategic & M&A Focus:
● Lead legal preparation for M&A transactions and investment rounds.
● Conduct and manage due diligence processes with investors and potential acquirers.
● Structure legal entities, corporate governance, and holding company architecture.
● Build and manage intellectual property strategy, including patent and trademark portfolios.
● Coordinate IP registration processes and protection strategies across jurisdictions.
Complex Negotiations & Dispute Resolution:
● Handle edge cases and high-risk client situations requiring senior judgment.
● Lead contract dispute resolution and manage complex negotiations.
● Defend company interests in challenging scenarios with enterprise clients and partners.
● Provide strategic legal guidance on business-critical decisions and risk assessment.
● Negotiate and structure non-standard deals and partnership agreements.
Legal Infrastructure & Oversight:
● Design scalable legal processes, playbooks, and approval workflows.
● Review and approve high-value or high-risk contracts flagged by the mid-level lawyer.
● Ensure legal compliance and corporate governance standards.
● Develop internal legal templates and standards for international operations.
● Provide legal training and guidance to sales, product, and leadership teams.
Qualifications:
Must Have:
● 5+ years of legal experience in business, private sector, or law firms (not government or public service).
● Proven track record with strategic legal work: M&A, investments, due diligence, or corporate structuring.
● Strong experience in dispute resolution and complex contract negotiations.
● Excellent English (written and spoken) — essential for work with US/EU clients and legal teams.
● Demonstrated ability to work independently, make strategic decisions, and drive outcomes.
● Stress resistance and confidence to defend company positions in high-pressure scenarios.
● Location: Lviv preferred for close collaboration with leadership, remote possible for exceptional
candidates.
Nice to Have:
● Experience preparing companies for M&A transactions or investment rounds.
● Background in intellectual property registration, patents, and trademark protection.
● Experience with international commercial law and cross-border transactions.
● Knowledge of IT/SaaS contract structures and tech industry standards.
● Experience working with US/EU legal frameworks and compliance requirements.
● Background in corporate governance and entity structuring.
● Experience mentoring or leading junior legal professionals.
Salary:
